Terms and Conditions of Use

These Terms of Service ("Terms") govern your access to and use of the applications, websites, content, products, and services (the "Services") made available in Canada by Trualr Technologies Inc. dba Truckbud and its affiliates ("Truckbud," "Trualr," "Company," "we," "us," or "our").
PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.
By accessing or using the Services, you agree to be bound by these Terms, which establish a contractual relationship between you and Trualr. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede any prior agreements or arrangements with you relating to the Services.
Truckbud may immediately terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services, at any time for any reason.
Supplemental terms may apply to certain Services, such as promotional programs, events, or specific offerings ("Supplemental Terms"). Supplemental Terms will be disclosed to you in connection with the applicable Services and will prevail over these Terms in the event of a conflict.
Truckbud may amend these Terms from time to time. Amendments will be effective upon posting of the updated Terms on the Services or Platform. Your continued access or use of the Services after such posting constitutes your consent to be bound by the Terms, as amended.
Your use of the Services is also subject to our Privacy Policy and, where applicable, our Driver Privacy Notice and Driver Terms of Use, which are incorporated by reference.
1. THE SERVICES
1.1 Platform
The Services constitute a technology platform that enables users of Truckbud's websites, applications, and other digital channels (each, an "Application") to arrange and schedule delivery and/or logistics services with independent third-party providers, including independent delivery drivers and logistics providers under agreement with Truckbud ("Third-Party Providers" or "Drivers").
1.2 Nature of Services
Truckbud does not itself provide delivery, transportation, or logistics services. Truckbud is not a carrier, mover, or transportation provider. All delivery and logistics services are provided by independent Third-Party Providers, who are not employees or agents of Trualr. Unless explicitly stated otherwise, Truckbud's responsibilities are limited to operating and providing access to the Platform and facilitating certain communications and payments between Customers and Drivers.
1.3 Assumption of Risk
Truckbud does not guarantee the suitability, safety, or ability of any Driver or Third-Party Provider. It is your responsibility to determine whether a Driver meets your needs and expectations. By using the Services, you acknowledge that you may be exposed to situations involving Drivers that could be unsafe, offensive, harmful, or otherwise objectionable. You agree that your use of delivery services arranged through the Platform is at your own risk.
2. LICENSE
Subject to your compliance with these Terms, Truckbud grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to:
- access and use the Applications on your personal device solely in connection with your use of the Services; and
- access and use any content, information, and related materials made available through the Services, in each case solely for your personal or internal business use.
All rights not expressly granted herein are reserved by Truckbud and its licensors.
3. YOUR USE OF THE SERVICES
3.1 Customer Accounts
To use most aspects of the Services, you must register for and maintain an active user account ("Account"). You must be at least the age of majority in your province or territory of residence to create an Account.
You agree to provide accurate, complete, and current information during registration and to keep such information up to date. Failure to do so may result in suspension or termination of your Account. You are responsible for all activities that occur under your Account and agree to maintain the security and confidentiality of your Account credentials.
3.2 User Requirements and Conduct
You may not authorize third parties to use your Account. You may only use the Services for lawful purposes, including the delivery of lawful goods. You agree not to:
- request transport of illegal, hazardous, or prohibited items;
- cause nuisance, damage, or harm to Drivers, other users, or third parties;
- misrepresent the nature, description, or value of goods being transported; or
- interfere with or impair the proper operation of the Services or Platform.
You may be required to provide proof of identity or other verification information to access or use certain Services. If you refuse to provide such information, you may be denied access to the Services.
3.3 No Passenger Transport
The Services are designed solely for the delivery and transport of goods. Drivers are not authorized to transport Customers or other individuals as passengers. Any such arrangement is strictly outside the scope of the Services and is at the personal risk of both parties.
3.4 Text Messaging and Communications
By creating an Account or using the Services, you consent to receive informational text (SMS) messages, phone calls, emails, or in-app notifications relating to your deliveries, Account, or use of the Services. You may opt out of non-essential communications at any time by following the instructions provided, but doing so may affect your ability to use certain features of the Services.
4. PAYMENT
4.1 Charges
You understand that use of the Services may result in charges to you for delivery or logistics services provided by a Driver ("Charges"). Unless otherwise agreed, Charges may include base delivery fees, distance-based fees, service fees, and any applicable taxes.
Truckbud may, in its capacity as the Driver's limited payment collection agent, facilitate payment of Charges on behalf of Drivers. Payment of Charges to Truckbud (or through the Platform) will be considered the same as payment made directly to the Driver. Charges are final and non-refundable unless otherwise determined by Truckbud in its sole discretion.
The timing and method of payment (e.g., online payment link, payment at or after delivery) may vary and may be communicated to you at or after the time of booking.
4.2 Promotional Codes
Truckbud may, from time to time, issue promotional codes or discounts subject to terms established by Truckbud. Promotional codes:
- may be used only in accordance with their specific terms;
- may not be duplicated, sold, or transferred; and
- may be disabled, withheld, or withdrawn at any time without liability.
4.3 Gratuities
You are not obligated to provide gratuities to Drivers. Where permitted, you may choose to tip a Driver, and any gratuity you provide is voluntary. Gratuities are between you and the Driver.
5. CLAIMS, ISSUES & SUPPORT
5.1 General Handling of Issues
If an issue arises during or after a delivery, including concerns about timing, service quality, or the condition of an item — Customers may contact Truckbud at support@truckbud.ca. We will review the concern and, where appropriate, help facilitate communication between the Customer and the Driver.
Truckbud is not a delivery carrier and does not take possession of items at any point. Delivery arrangements are between the Customer and the independent Driver. Truckbud does not make determinations regarding responsibility for loss, damage, or other issues, but may assist in gathering information to help the parties reach their own resolution.
5.2 Resolution Support
Truckbud may, at its discretion, assist in mediating discussions or reviewing complaints submitted by Customers or Drivers. Any support provided is informal and does not constitute an admission of responsibility or liability on behalf of Truckbud.
5.3 No Admissions
Nothing in this Section 5 obligates Truckbud to reimburse, compensate, or otherwise resolve disputes related to deliveries or items. Any determinations regarding remedies or compensation, if any, are between the Customer and the Driver.
6. DISCLAIMERS; LIMITATION OF LIABILITY; INDEMNITY
6.1 Disclaimer
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Truckbud disclaims all representations and warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, Truckbud does not warrant that:
- the Services will be uninterrupted, timely, secure, or error-free;
- any particular Driver will be available; or
- any delivery will be free from loss, damage, delay, or other issues.
You acknowledge that Third-Party Providers are independent of Truckbud and are not under our direct control.
6.2 Limitation of Liability
To the maximum extent permitted by law, Truckbud shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, or personal injury, arising out of or in connection with:
- your use of, or inability to use, the Services;
- any conduct or actions of Drivers or other third parties;
- any transaction or relationship between you and any Driver or third party.
In no event shall Trualr's total liability to you in connection with the Services for any single incident or related series of incidents exceed the greater of:
(a) the amount paid by you for the specific delivery or transaction in question, or
(b) CAD $50.
The foregoing limitations shall apply even if Truckbud has been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.
6.3 Indemnity
You agree to indemnify, defend, and hold harmless Trualr, its officers, directors, employees, affiliates, and agents from and against any and all claims, demands, losses, liabilities, and expenses (including legal fees) arising out of or in connection with:
- your use of the Services;
- your breach or violation of these Terms;
- your violation of any law or the rights of any third party; or
- your interaction or relationship with any Driver or Third-Party Provider.
7. GOVERNING LAW
These Terms and any disputes arising out of or relating to them are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Manitoba, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Services.
8. GENERAL
- You may not assign or transfer these Terms, in whole or in part, without Trualr's prior written consent.
- No joint venture, partnership, employment, or agency relationship exists between you, Trualr, or any Driver as a result of these Terms or your use of the Services.
- If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Trualr's failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
